We are seeking a highly ambitious paralegal to join Beacon’s legal team and serve as the day-to-day point of contact for post-close legal integration across Beacon’s acquisitions, from LOI signing through full integration completion. Reporting to Beacon’s Senior Paralegal and Legal Operations Lead, you will be the hands-on paralegal executing the legal integration workstream on every deal - owning corporate governance clean-up, driving diligence follow-up, and building out integration workflows for legal, while ensuring every integration gets across the finish line. This is a high-impact, high-autonomy role for a paralegal who thrives in a fast-paced environment and wants to be at the center of Beacon’s integration strategy. You will execute the legal integration workstream internally as the primary legal resource on each transaction post-close,working directly with our M&A, legal and Integration teams, coordinating with our registered agent providers, and handling post-closing matters across our growing portfolios. We are looking for someone who is ready to do the heavy lifting on integration – someone with broad legal judgment who can spot and address general legal and compliance issues beyond the four corners of the post-closing checklist, and who is prepared to leverage AI tools to drive efficiency across the entire integration lifecycle.
• Integration Project Management: Lead the legal integration workstream for newly acquired companies - collaborating cross-functionally to ensure alignment with company policy and compliance requirements, and maintaining integration dashboards, project plans, and status documentation.
• Legal Operations & Workflow: Build out Beacon's legal integration workflows and program, manage the library of approved templates and resources, and lead each newly acquired company's introduction to Beacon Legal.
• Diligence Support: Review data rooms and assist Legal in collecting, reviewing, and summarizing diligence information with an eye toward post-close integration, and help scope clean-up items.
• Corporate Management & Compliance: Transfer registered agent services, complete state and DBA registrations, and clean up minute books.
• Tracking & Reporting: Own the post-close tracker from day one through completion - maintaining accurate records of the transaction, legal integration milestones, and flagging items that require timeline extensions.
• Risk Management: Assist with identifying, escalating, and mitigating legal risk in existing agreements (customer, vendor, partner, contractor) or practices, alongside internal and external counsel.
• Record Management: Ensure employment agreements, customer contracts, and other key agreements and corporate records are saved in a centralized repository.
• Licensed paralegal in good standing with the Law Society of Ontario.
• Bachelor’s degree or equivalent experience.
• 1–3 years of experience as a corporate clerk, paralegal, or in a corporate governance/legal support role, ideally within a multi-entity environment (M&A integration, private equity, venture capital, or holding company experience preferred).
• Strong knowledge of corporate governance practices, minute book management, and entity lifecycle administration, including a strong working understanding of Canadian and U.S. corporate entity law (federal and provincial/state) and how it applies to multi-entity structures.
• Familiarity with U.S. state and Canadian provincial corporate filing requirements, including annual reports, foreign qualifications, and DBA registrations.
• Experience managing cross-jurisdictional compliance obligations and coordinating with registered agents and external counsel.
• Strong organizational and project management skills, with high attention to detail.
• Highly Proficient with AI tools for legal work (e.g., AI-assisted contract review, document drafting, legal research). A genuine enthusiasm and need for integrating AI into day-to-day legal practice is essential.
• Proficiency in Microsoft Office / Google Suite and project management tools (Asana, Zendesk or similar)
• Comfortable operating in a fast-paced, high-volume deal environment with multiple concurrent transactions and shifting priorities.
• Excellent written and verbal communication skills, with the ability to translate complex legal concepts into clear, actionable guidance for non-legal business partners.
• Self-directed operator who can own the corporate governance function end-to-end with minimal supervision – setting priorities, driving deadlines, managing advisors, and leading cross-functional projects independently. Comfortable making judgment calls, escalating only what truly needs escalation, and running this workstream as the internal expert.
• Experience with vertical market software, SaaS, or technology-focused M&A transactions is a strong plus.
