Firmus Technologies, a Sydney-based leader in AI infrastructure, is seeking an Assistant Company Secretary to join its Legal and Governance team. The company builds and operates AI infrastructure across the Asia Pacific region, with a founder-led culture that supports quick decisions and direct access to leadership. This is a hands-on role that sits at the heart of governance as the business grows across multiple jurisdictions.

Reporting to the Deputy Company Secretary, you’ll work closely with the Board, Board committees and senior executives to keep governance processes effective and aligned with Firmus’s strategic aims. Day-to-day governance that keeps momentum

Your day-to-day revolves around supporting continuous disclosure and the governance framework for the Board and its committees, including planning and running meetings and tracking required actions. You’ll also handle minute-taking with precision and help keep governance records up to date so decisions are clear and traceable.

Beyond the Board work, you’ll manage regulatory filings with ASIC and ASX where relevant, and oversee governance for subsidiary entities and offshore structures. Maintaining corporate records across multiple jurisdictions will be part of the job, ensuring the group’s structures stay compliant and well-documented.

In addition, you’ll contribute to governance projects that keep Firmus compliant with the Corporations Act and ASX Listing Rules, translating policy into practical processes and supporting the ongoing oversight needed as the company expands internationally.

The must-have ingredients

  • Seven or more years of governance, company secretarial or legal experience in a related field.
  • Experience within a listed company, a large private company, professional services, or a governance-focused environment.
  • Strong understanding of the Corporations Act, ASX Listing Rules and ASX governance policies.
  • Proven track record supporting boards, board committees and senior executives.
  • Experience running subsidiary governance programs and managing corporate structures across multiple jurisdictions.
  • Excellent drafting, communication and minute-taking capabilities.
  • Outstanding organisational skills with the ability to juggle multiple priorities and deadlines.
  • High attention to detail, sound judgment and a proactive approach to problem solving.
  • Experience supporting an ASX-listed company or an organisation preparing for a public listing.
  • Experience working across Australian and international corporate structures.

Qualifications

  • Bachelor’s degree in Law, Governance or a related discipline.
  • Governance Institute of Australia or AICD qualifications (or equivalent) highly regarded.
  • Legal qualification and admission to practice desirable.

Where the role sits and how you’ll work

Location for this permanent full-time position is on-site in Sydney, Australia or Singapore, with reporting to the Deputy Company Secretary. You’ll join the broader legal and governance team and collaborate with directors, executives and other stakeholders to ensure governance processes stay aligned with Firmus’s growth plans and multi-jurisdictional requirements.
